Opening a Bank Account for a Suzhou Company

A practical guide for foreign founders on preparing corporate bank account applications for a Suzhou (Anhui) company, covering due diligence, legal representative attendance, foreign exchange setup and the common reasons applications stall.

Opening a corporate bank account is often the step that turns a newly registered Suzhou company from a piece of paper into a business that can actually receive money, pay staff and settle tax. It is also one of the steps where foreign founders most often lose weeks, not because of a single dramatic problem but because of cumulative small gaps between what the bank expects and what the founder has prepared.

This guide is written for foreign founders of companies registered in Suzhou, Anhui Province. It covers how to prepare, what due diligence the bank will run, why the legal representative's presence matters, how foreign exchange (forex) registration fits in, and the recurring reasons applications stall in this city.

Start With the Right Bank and the Right Account Type

Suzhou, Anhui is not Shanghai or Shenzhen. The branch network is smaller, and not every branch of every bank is equally experienced with foreign-invested enterprises (FIEs). Before you fill in a single form, decide two things.

First, the account structure. A company typically needs a basic deposit account (基本存款账户), which is the primary account for daily operations, cash withdrawal and payroll. It may also need a general account, a foreign currency account, or a capital account (资本金账户) for foreign direct investment funds. The basic account is usually the starting point, and it can only be opened once per company.

Second, the bank. Large state-owned banks and major joint-stock banks generally have more mature processes for FIEs, including English-capable staff at some branches. Smaller local banks may be friendlier on minimum balances but slower on forex. Ask your registration agent or accountant which branches in Suzhou have recently onboarded foreign-invested companies; experience matters more than brand.

Preparation Checklist Before You Apply

Banks in Anhui apply the same national framework of know-your-customer (KYC) and anti-money-laundering (AML) checks as elsewhere, and local branches interpret it strictly. Assemble a complete, consistent document set.

Keep names, addresses and spelling identical across every document. A mismatch between the business licence and a shareholder certificate is a classic cause of delay.

Due Diligence: What the Bank Is Actually Assessing

Expect questions that feel commercial rather than administrative. The bank is assessing whether the company has a real business, identifiable owners, and a plausible reason to move money.

Be ready to explain your business model, your main customers and suppliers, expected monthly transaction volumes and currencies, and the countries you will send money to or receive it from. If you are a wholly foreign-owned consulting or trading company, prepare to show contracts or a pipeline. If your shareholders are offshore holding companies, be ready to explain the chain up to the ultimate beneficial owner.

Banks may also ask about politically exposed persons among shareholders or directors, and about any connection to sanctioned jurisdictions or high-risk sectors. Answer directly and consistently; evasiveness is itself a red flag.

Legal Representative Attendance and the Interview

In practice, most banks in Suzhou require the legal representative to attend the branch in person to sign account-opening documents and complete an interview. Some banks permit a proxy for parts of the process, but the trend is toward in-person verification, and a foreign legal representative should plan a trip rather than assume remote handling.

Bring your passport, entry stamp or residence permit and the company seals. The interview is usually short but substantive: who owns the company, what it does, who will operate the account, and what transactions are expected. If the legal representative cannot explain the business, the application can be paused even when the paperwork is complete.

Foreign Exchange Registration

If the company received or will receive foreign investment, forex registration is a separate step that usually precedes opening a capital account. The company registers with the local branch of the State Administration of Foreign Exchange (SAFE) through the bank, which then opens the capital account and handles subsequent capital inflows.

Plan the sequence: business licence, then forex registration, then capital account, then basic account and RMB operations. Keep the bank informed about the source of funds and the intended use, and retain contracts and remittance documentation. For day-to-day cross-border payments, the bank will also assess the trade or service background of each transaction.

Common Reasons Applications Stall in Suzhou

Most of these are avoidable with preparation. The founder who arrives with a coherent file, a clear explanation of the business and the legal representative present in person generally moves through the process far more smoothly than one who treats the bank as a formality.

Practical Sequence for Founders

Confirm the company registration is complete and consistent; choose a bank branch with FIE experience; prepare and, where needed, legalise shareholder documents; arrange the legal representative's travel; complete forex registration if foreign capital is involved; attend the branch interview; and only then activate payments. Budget more time than you expect for document authentication, and keep copies of everything you submit.

Treat the account opening as part of building a credible operating company in Suzhou, not as an afterthought. Banks are assessing a relationship, and a well-prepared founder makes that assessment easy.
